1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "Client"), and Garnet Grid Consulting LLC, a New York limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of the garnetgrid.com website, including any subdomains, portals, applications, APIs, and AI-powered tools (collectively, the "Site").

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

We reserve the right to make changes to these Terms at any time and for any reason. It is your responsibility to review these Terms periodically. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all content, features, and functionality — including but not limited to all source code, databases, software, website designs, audio, video, text, photographs, graphics, algorithms, AI models, prompt engineering patterns, data architectures, and proprietary methodologies (collectively, the "Content") — and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Code & Source Materials. All JavaScript, CSS, HTML templates, algorithms, AI prompt engineering patterns, machine learning models, training data configurations, and any other technical implementations (collectively, "Source Materials") published on or accessible through this Site are the exclusive intellectual property of Garnet Grid Consulting LLC. You may not copy, reproduce, modify, decompile, reverse-engineer, distribute, transmit, display, perform, license, or create derivative works from any Source Materials without prior written consent. Automated scraping, crawling, data mining, or any form of programmatic extraction of Source Materials is expressly prohibited.

Monitoring & Enforcement. We employ technical measures to monitor and log unauthorized access attempts to our Source Materials, including but not limited to browser developer tools usage, source code viewing, network traffic analysis, and automated extraction. Evidence of such activity may be preserved and used in legal proceedings. Violators may be subject to statutory damages under the Digital Millennium Copyright Act (DMCA), the Computer Fraud and Abuse Act (CFAA), and applicable state trade secret and unfair competition laws.

3. User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity to enter into and comply with these Terms.
• You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site.
• You will not access the Site through automated or non-human means, whether through a bot, script, spider, crawler, or otherwise, except as expressly permitted by us in writing.
• You will not use the Site for any illegal or unauthorized purpose.

5. Service Descriptions & AI Output Disclaimer

Garnet Grid Consulting LLC provides technology consulting, business intelligence, data engineering, and AI-powered knowledge management services. Our Garnet knowledge engine and related AI tools generate outputs using machine learning models and automated processes.

NO PROFESSIONAL ADVICE. All information, analyses, reports, recommendations, and outputs provided through the Site, the Garnet knowledge engine, or any consulting engagement are for informational purposes only and do not constitute legal, financial, accounting, tax, medical, or other professional advice. You should consult with qualified professionals before making any decisions based on information or outputs received from us.

AI LIMITATIONS. AI-generated outputs may contain errors, inaccuracies, biases, or outdated information. While we strive for accuracy, we make no representations or warranties regarding the completeness, reliability, suitability, or accuracy of any AI-generated content. You acknowledge and agree that any reliance on AI-generated outputs is at your sole risk.

NO GUARANTEED OUTCOMES. Past results, case studies, and testimonials displayed on the Site are illustrative only and do not guarantee similar outcomes. The results of any consulting engagement depend on numerous factors specific to your situation.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GARNET GRID CONSULTING LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR OUR SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE LIABILITY CAP. Our total aggregate liability to you for all claims arising out of or relating to these Terms, the Site, or our services shall not exceed the greater of: (a) the total amount you paid to Garnet Grid Consulting LLC in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT, SERVICES, FEATURES, AND OUTPUTS (INCLUDING AI-GENERATED CONTENT) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Site will be available at all times or operate without interruption or errors; (b) defects will be corrected; (c) the Site or server is free of viruses or harmful components; (d) results obtained from the use of the Site or our services will be accurate, reliable, or meet your requirements; or (e) any content or data you store on or through the Site will not be lost or corrupted.

8. Indemnification

You agree to defend, indemnify, and hold harmless Garnet Grid Consulting LLC, its members, managers, employees, agents, contractors, successors, and assigns from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of and access to the Site or our services.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.
• Any claim that your use of the Site or our services caused damage to a third party.
• Any content, materials, or data you submit, post, or transmit through the Site.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York for all disputes arising out of or relating to these Terms or your use of the Site.

Any legal action or proceeding relating to these Terms must be commenced within one (1) year after the cause of action arises. Any cause of action or claim not brought within this period is permanently barred.

10. Dispute Resolution

Informal Resolution. Before initiating any legal proceeding, you agree to first contact us at garnetgrid@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration. If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in New York, New York, before a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims relating to intellectual property infringement, trade secret misappropriation, or unauthorized access to Source Materials.

CLASS ACTION WAIVER. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11. Termination

We reserve the right, in our sole discretion, to deny access to and use of the Site (including blocking certain IP addresses) to any person for any reason or no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms, or of any applicable law or regulation. We may terminate your use or participation in the Site or delete your account and any content or information you posted at any time, without warning, at our sole discretion.

Upon termination, all provisions of these Terms that by their nature should survive shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

12. Payment Terms

If you engage Garnet Grid Consulting LLC for paid services, the following terms apply:

• Invoicing: Invoices are issued in accordance with the engagement agreement or Statement of Work (SOW). Payment is due within thirty (30) days of invoice date unless otherwise specified.
• Late Payment: Unpaid balances after the due date may accrue interest at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less.
• Suspension: We reserve the right to suspend services if payment is more than fifteen (15) days past due.
• Taxes: All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and assessments levied by any governmental authority related to your purchase, excluding taxes based on our net income.

13. Modifications to Terms

We reserve the right to change, modify, or remove the contents of the Site or these Terms at any time and for any reason at our sole discretion without notice. We have no obligation to update any information on the Site. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or these Terms. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of such changes.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The failure of either party to exercise any right or enforce any provision of these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Statement of Work or engagement agreement, constitute the sole and entire agreement between you and Garnet Grid Consulting LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
